Terms of Service

Welcome to Region Pilot. These Terms of Service ("Terms") govern your use of the Region Pilot software, website, and related services (collectively, the "Service"). The Service is provided by Borah Logistics LLC, an Alabama limited liability company ("we," "us," or "our").
By accessing or using the Service, you ("you," "Customer") agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
Region Pilot is a software-as-a-service product that helps regional sales managers and brand-network operators manage prospective and active dealer relationships, sales territories, and pipeline activity. The Service includes hosted application access at regionpilot.com, related APIs, mobile interfaces, and any associated documentation.
We may change, add to, or remove features from the Service from time to time. Material changes that reduce functionality you've already paid for will be communicated in advance.
2. Eligibility and Account Registration
To use the Service you must be at least 18 years old and capable of forming a binding contract. By creating an account you represent that you meet these requirements.
You are responsible for:
- Providing accurate, current information when registering
- Keeping your password and access credentials confidential
- All activity that occurs under your account
- Notifying us promptly if you suspect unauthorized access (contact: support@regionpilot.com)
We may refuse, suspend, or terminate accounts at our discretion for violations of these Terms.
3. Subscriptions, Billing, and Refunds
Some features of the Service require a paid subscription. By starting a paid plan you authorize us (through our payment processor, Stripe, Inc.) to charge your payment method on a recurring basis until you cancel.
- Pricing. Current pricing is shown on our website at the time of purchase. We may change pricing with at least 30 days' notice; price changes apply to renewals after the notice period.
- Trial periods. If a free trial is offered, you will not be charged until the trial ends. You may cancel before the trial ends to avoid charges.
- Cancellation. You may cancel anytime from your account settings. Cancellation takes effect at the end of the current billing period; you keep access until then.
- Refunds. Subscription fees are non-refundable except where required by law or as expressly stated in these Terms. We may issue refunds at our discretion for billing errors or failed services.
- Taxes. You are responsible for any applicable sales, use, or other taxes that aren't included in the listed price.
- Failed payments. If a payment fails, we will retry and may suspend or downgrade your account if payment cannot be collected.
4. Acceptable Use
You agree not to use the Service to:
- Violate any law, regulation, or third party's rights
- Send spam, unsolicited communications, or marketing without recipient consent
- Upload or store harmful, illegal, infringing, defamatory, or obscene content
- Reverse engineer, decompile, or attempt to extract the source code of the Service (except where this restriction is prohibited by law)
- Resell, sublicense, or rebrand the Service without our written permission
- Scrape, copy, or harvest the Service's data using automated means
- Probe, scan, or test the vulnerability of the Service or attempt to bypass authentication
- Use the Service to build a competing product
- Impersonate any person or entity
We may suspend or terminate access for violations of this section.
5. Your Content and Data
You own your data. Information you upload, enter, or generate within the Service ("Customer Data") remains yours. You grant us a limited license to host, copy, display, and transmit that data solely as needed to provide and improve the Service for you.
You are responsible for:
- The accuracy and lawfulness of Customer Data
- Having the right to upload and use any Customer Data
- Backing up your data (we maintain operational backups but you should keep your own copies of anything critical)
We will not sell, license, or share Customer Data with third parties except: (a) with sub-processors required to operate the Service (see Privacy Policy), (b) with your consent, or (c) when required by law.
6. Intellectual Property
We own or license the Service, including all software, design, documentation, trademarks, and content (other than Customer Data). These Terms grant you a non-exclusive, non-transferable, revocable right to use the Service while your account is active and in good standing.
You may not remove copyright, trademark, or other notices from the Service.
7. Service Availability
We aim to keep the Service available 24/7 but do not guarantee uninterrupted operation. We may schedule maintenance or experience unplanned downtime due to factors outside our control (network outages, third-party service interruptions, security incidents). We will use commercially reasonable efforts to minimize downtime and will not provide refunds or credits for outages unless required by an applicable Service Level Agreement, which is not currently part of these Terms.
8. Termination
You may close your account at any time from account settings.
We may suspend or terminate your account immediately if:
- You violate these Terms or applicable law
- Your account is used in a way that creates legal, financial, or security risk to us or other users
- We are required to do so by court order or law
- We discontinue the Service (with reasonable advance notice and any applicable refund of pre-paid unused fees)
Upon termination: your right to use the Service ends, your data may be retained for up to 30 days to allow recovery, and after that period your data may be permanently deleted. We have no obligation to preserve Customer Data after this window.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED DOLLARS (USD $100).
WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY.
Some jurisdictions don't allow these limitations; in those cases our liability is limited to the maximum extent permitted.
11. Indemnification
You agree to defend, indemnify, and hold harmless us and our officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms or law, (b) your Customer Data, (c) your violation of any third party's rights.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-laws principles. Exclusive jurisdiction and venue for any dispute will be the state and federal courts located in Houston County, Alabama, and you consent to personal jurisdiction in those courts.
Before bringing a formal claim, you agree to first contact us at support@regionpilot.com and attempt to resolve the dispute in good faith for at least 30 days.
13. Changes to These Terms
We may update these Terms periodically. Material changes will be communicated via email or in-product notification at least 14 days before they take effect. Continued use of the Service after changes take effect means you accept the new Terms. If you don't accept, your option is to cancel your account before the changes take effect.
14. General
- Entire agreement. These Terms (together with our Privacy Policy) form the entire agreement between you and us regarding the Service.
- Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or successor in connection with a merger, sale, or reorganization.
- Severability. If any provision is unenforceable, the rest remains in effect.
- Waiver. Our failure to enforce a provision is not a waiver of the right to enforce it later.
- Notices. Notices to you may be sent by email to your account email. Notices to us must be sent to legal@regionpilot.com.
